CHELSEA HANDLER LOCAL SWEEPSTAKES OFFICIAL RULES

The following Sweepstakes is intended for play in the United States only and shall only be construed and evaluated according to the United States law. Do not enter this Sweepstakes if you are not located in the United States at the time of entry.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED.

1. HOW TO ENTER THE SWEEPSTAKES

a) The Chelsea Handler Ticket Sweepstakes ("Sweepstakes") will begin on 3/5/2010 at 12:00:01 AM Eastern Time ("ET") and will end on 5/07/2010 at12:00:01 AM ET. Entry deadlines will vary depending upon the market and state in which the entrant resides. Entry periods are defined as follows, and all entries must be received during the respective Entry Periods:

Visit http://www.cbsradio.com/contests/live-nation-chelsea-Handler-tickets during the respective Entry Period above and enter the Sweepstakes by following the online instructions. Entrants will be required to submit their first and last names, complete address, city, state, ZIP code, telephone number, date of birth, and a valid email address in the online entry form. Only one (1) internet entry per person and per email address per Entry Period. Internet entries will be deemed made by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider or other organization that is responsible for assigning the email address or the domain associated with the submitted email address. Multiple participants are not permitted to share the same email address. Entries submitted will not be acknowledged or returned. Use of any device to automate entry is prohibited. The CBS Radio Interactive Music Group ("Administrator") reserves the right to void all online entries made through any robotic, automatic, mechanical, programmed, or similar entry duplication method and to disqualify any individual using such a method. Proof of submission of an entry shall not be deemed proof of receipt by the Administrator. The Administrator's computer is the official time keeping device for the Sweepstakes. The Administrator is not responsible for entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties or other technological problems.

b) One (1) prize provided by Live Nation will be awarded to one (1) winner selected from each of the metropolitan areas outlined above. A maximum of seventeen (17) prizes provided by Live Nation will be awarded.

c) Only entries submitted during the Entry Periods and prior to the respective entry deadline dates and times above will be included in the Sweepstakes random drawings. Entries submitted after the Entry Period will not be eligible for the Sweepstakes drawing.

d) You may also enter the Sweepstakes by legibly hand-printing the words "CBS Radio and Chelsea Handler Ticket Sweepstakes," your first and last names, complete address, city, state, Zip code, telephone number, date of birth and a valid e-mail address (if applicable) on a 3"x 5" card and mailing it in an envelope to "The Chelsea Handler Ticket Sweepstakes," Attn: K. Ehlers, CBS Interactive Music Group, W. 57th St. FL 14, New York, NY 10019. Mail-in entries must be received by the respective entry deadlines listed above. The Administrator is not responsible for lost, stolen, mangled, misdirected, postage due, illegible, incomplete or late entries.

2. ELIGIBILITY RESTRICTIONS

a) The Sweepstakes is open to legal U.S. residents age 21 or older who are residents of Arizona, California, Florida, Georgia, Maryland, Massachusetts, Minnesota, Nevada, New York, Oregon, Pennsylvania, Texas, Virginia, Washington, and the District of Columbia. Employees of the Live Nation, the Administrator, their respective parent, subsidiary, and affiliated entities, the Administrator's advertising and promotional agencies, participating sponsors and the members of each of their immediate families (mother, father, step-mother, step-father, siblings, children, and spouse) or households (whether related or not) are ineligible to participate or win.

b) Only one winner per household is permitted in the Sweepstakes. Prizes will be awarded pending verification of eligibility.

c) Entrants are required to provide truthful information and the Administrator will reject and delete any entry that it discovers to be false or fraudulent. The Administrator will disqualify any entry from individuals who do not meet the eligibility requirements, and the Administrator will also delete any entry knowingly received from persons under the age of 13 in compliance with the Children's Online Privacy Protection Act.

3. PRIZES

a) Seventeen (17) prizes provided by Live Nation will be awarded. Each prize will consist of a pair of Chelsea Handler concert tickets and a copy of Chelsea's book, "Chelsea Chelsea Bang Bang" and will have an Approximate Retail Value ("ARV") of $156.00.

b) Scheduled concert dates and locations are set forth in Section 1 above.

c) Prizes are not returnable or refundable for cash except in states where required by law. Resale of all items is strictly prohibited.

d) Total ARV of all prizes being awarded: $2,652.00.

e) In the event that a prize or prize certificate is mailed to the winner, it will be with the prior written consent of the winner and therefore, winner assumes the risk of its loss. The Administrator is not responsible for the safe arrival of a prize or prize certificate.

f) There is no substitution, transfer, or cash equivalent for prizes, except that the Administrator may, at its sole discretion, substitute prizes of comparable value or cash. The prizes are expressly limited to the item(s) listed above and do not include taxes, gratuities or any other expenses. Other restrictions may apply.

4. SELECTION OF WINNERS

a. Decisions of the Administrator with respect to the Sweepstakes are final.

b. A maximum of seventeen (17) prizes will be awarded. Winners will be selected in random drawings conducted by the Administrator in each market approximately three days prior to each market's scheduled show date(s) as outlined above.

c. Odds of winning a prize depend on the number of entries received in during the Entry Period in each market.

d. The Winner need not be present or listening to win. Potential winners will be notified via email and phone on the drawing date as listed above.

e. All prizes or prize certificates will be mailed to winners at the address provided following confirmation of eligibility and compliance with the official rules. The Administrator is not responsible for lost or stolen mail.

f. Potential winners will be required to execute and return a required Affidavit of Eligibility and/or Release of Publicity/Liability Prize Acceptance Form within 24 hours of winning or prize will be forfeited and an alternate Winner may be randomly selected. If a potential winner cannot be contacted, fails to sign and return the required affidavit of eligibility and liability/publicity release within the required time period, or if a prize or prize notification is returned as undeliverable, potential winner forfeits prize.

5. CONDITIONS

a. Payments of all federal, state and local taxes are solely the responsibility of the winner. The winner will be required to complete and submit an IRS Form W-9 with the winner's full Social Security Number or the equivalent for receipt of any prize valued at $600 or more or for any prizes awarded by the Administrator in a calendar year with an aggregate value of $600 or more. Failure to submit a complete W-9 or equivalent will result in forfeiture of the prize. Such winnings of $600 or more will be reported to the IRS.

b. By participating in the Sweepstakes, the winner agrees to have the winner's name, voice and likeness used in any advertising or broadcasting material relating to the Sweepstakes without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.

c. Prior to awarding any prize or prize certificate, the Administrator, in its sole discretion, may require Sweepstakes winners (and their travel companions, if any) to sign a liability release, agreeing to hold Live Nation, CBS Interactive Music Group, and each of their respective parent, subsidiary and affiliated entities, and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the Sweepstakes.

d. If for any reason this Sweepstakes cannot be executed as planned, including, but not limited to, as a result of infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Administrator that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Sweepstakes, or if the Sweepstakes is compromised or becomes technically corrupted in any way, electronically or otherwise, the Administrator reserves the right to cancel, terminate or modify the Sweepstakes. If the Sweepstakes is terminated before the original end date, the Administrator will select the winners by random drawing from among all eligible non-suspect entries received as of the termination time/date or otherwise modify the procedure for selecting winners.

e. The Administrator, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Administrator's website. Failure to comply with the rules of the Sweepstakes may result in a contestant's disqualification and/or forfeiture of any prize or prizes. If the Administrator makes a good faith determination that an entrant has cheated or committed fraudulent activity in connection with a Sweepstakes, the Administrator reserves the right to disqualify that entrant from entering and/or winning future Sweepstakes and to prosecute and seek damages to the fullest extent permitted by law.

f. The Administrator reserves the right to make changes in the rules of the Sweepstakes, including, without limitation, the substitution of a prize of equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of the Administrator, any competition or prize-related event or travel is delayed, rescheduled, postponed or cancelled, the Administrator and Sponsor reserves the right, but not the obligation, to cancel or modify the Sweepstakes and shall not be required to award a substitute prize.

g. The Administrator is not responsible for typographical or other errors in the printing, the offering or the administration of the Sweepstakes or in the announcement of a prize.

h. For a copy of these Official Rules, send a self-addressed stamped envelope for receipt by 05/07/2010 to "Chelsea Handler Ticket Sweepstakes - Official Rules," Attn: Promotions, CBS Interactive Music Group, W. 57th St. FL 14, New York, NY 10019. For the names of the prize winners send a self-addressed stamped envelope for receipt by 09/01/2010 to the above address marked "Chelsea Handler Sweepstakes - Winner List (when completed) shall also be available during regular business hours at the main offices of the Administrator and may be posted online at http://www.cbsradio.com/contests/live-nation-Chelsea-Handler-tickets.

6. PRIVACY

a. By use of the Administrator's website or by entering the Sweepstakes through the Administrator's website, you agree to the website's Terms of Use Agreement located at http://www.cbsradio.com/contests/live-nation-Chelsea-Handler-tickets and to the use of your personal information as described in the Privacy Policy located at http://www.cbsradio.com/contests/live-nation-Chelsea-Handler-tickets.
